North Shore Homeowners Association, Inc.
A Non-Profit corporation
ARTICLE I. NAME
This corporation shall be known as North Shore Homeowners Association, Inc., (N.S.H.A.) a nonprofit Georgia Corporation.
ARTICLE II. OBJECTIVES
¤ Fostering community action
¤ Securing improvements
¤ Promoting general welfare
¤ Managing the operations and maintenance of the marina (s) and related facilities
¤ Maintaining the area as an attractive and desirable community in which to reside
¤ Provide aid and information to newcomers entering and our community
ARTICLE III. MEMBERSHIP
Section one
A. General Membership - The adult members of all families who own property in the North Shore Subdivision are eligible for General Membership in this Association and become General Members upon payment of the prescribed annual dues plus any assessments.
B. Ramp Access Membership - All General Members of this association are eligible for Ramp Access Membership of the appropriate marina and become Ramp Access Members upon payment of the prescribed fee plus any assessments established for that marina.
C. Slip Membership - All Genera Members owning off-water property in the North Shore Subdivision are, to the extent that slip space is available, eligible for Slip Membership of the appropriate marina and become Slip Members upon payment of the prescribed fee, assessments, and by so doing, manifest their willingness to comply with the following regulations:
1. Specification for the construction of new slips and modifications or major maintenance to existing slips must be approved by the appropriate marina committee, the Board of Directors of the North Shore Homeowners Association, and the Lake Spivey Civic Association Properties and Corporate Affairs Committee.
2. Initial assignment of slips will be made by the appropriate marina committee.
3. Use of the slips will be limited to boats conforming to regulations of and registered by the Lake Spivey Civic Association.
4. Each slip owner will hold title to an assigned slip and an undivided equal portion of all ramps, walkways, and anchorage comprising the entire slip complex.
5. Each slip owner will be responsible for maintaining the bumpers and fenders on his assigned slip in presentable and acceptable condition and will share in the cost of maintaining the undivided portion of the total slip complex.
6. Slip ownership will be limited to one slip per eligible General Member.
7. Any slip owner who fails to comply with these regulations as determined by the appropriate Marina Committee will have his rights of slip ownership revoked. Title will be transferred to the Marina Committee who will sell the slip to an eligible General Member. Slip owners will be reimbursed the selling price less legal and transfer costs.
8. The North Shore Homeowners Association, in exercising its authority over a marina, does not warrant the safety of the slips, walkway and anchorage comprising the marina complex nor is the association liable for any injuries or damages resulting from the use of such complex. Such liability is the responsibility of the slip owner.
Section Two - A slip and related walkways is the exclusive private property of the assigned Slip Member and, as such, may be used only by such Slip Member, his immediate family members, or bona fide house guest for whom the Slip Member assumes full responsibility.
Section Three - Costs and expenses of maintaining and/or improving a marina or its slip complex will be borne by Ramp Access Members and/or Slip Members as determined by the respective Marina committee subject to the Board of Directors' approval.
Section Four
A. General Members owning off-water property lying east of the Georgia Power Company transmission line are eligible, except as noted in paragraph C and D of this section, for Ramp Access or Slip Membership only of the Peninsula Marina.
B. General Members owning off-water property lying west of the Georgia Power Company transmission line are eligible, except as noted in paragraph C and D of this section, for Ramp Access or Slip Membership only of the Shoreline Marina.
C. Slip Members who, at the time of approval of these revised By-laws (January 13, 1987), have membership in a marina not in the conformance with the geographic eligibility requirements of paragraphs A and B above will continue to be eligible for such membership until they choose to dispose of the assigned slip. At which time ownership of such slip must be transferred to a General Member meeting the geographic eligibility requirement of paragraphs A and B above.
D. A slip lease executed subsequent to the approval of the By-laws revision (January 13, 1987) may be leased only to a General Member meeting the geographic eligibility requirement stipulated in paragraph A and B above.
E. In the event the geographic eligibility requirements stipulated in paragraphs A, B, C, and D above would result in extreme hardship to a General Member, such requirements may be waived by the joint approval of the Board of Directors and both marina committees.
Section Five - Sale of a lot in North Shore Subdivision shall automatically terminate membership in this association without formal resignation, and all persons ceasing to hold membership shall immediately forfeit the privileges thereof.
ARTICLE IV. DUES
Section One - The Board of Directors shall prepare a budget for the next fiscal year to be voted upon by the membership of the North Shore Homeowner's Association at the Annual Meeting.
Section Two - The Board of Directors shall recommend general membership dues in support of such budget to be voted upon by the membership of the North Shore Homeowner's Association at the Annual Meeting.
New Members who move into North Shore after September 15 will pay one-half the annual dues.
Section Three - Ramp access membership dues and assessments will be determined by each marina committee respectively. Ramp access membership dues are to be maintained in a separate fund and used for maintenance and repairs to the marina excluding the slip complex. Slip membership dues and assessments shall be applied to each slip member annually, to be at least, but not limited to the amount of ramp access membership dues. Slip membership dues are to be maintained in a separate fund and used for maintenance and repairs of the respective slip complex.
ARTICLE V. MEETING SCHEDULE
Section One - The annual meeting of the membership of this association shall be held during the month of January at a location to be chosen by the officers and directors of the association.
Section Two - Notice of the annual meeting shall be distributed to each member of the association at his usual residence address at least seven days prior to the meeting. Only three days written notice shall be required in the event of a special meeting.
Section Three - Order of business at the annual meeting, and in so far as applicable, to other meetings of the members:
A. Call of meeting to order
B. Reading of minutes of previous meeting
C. Report of secretary
D. Report of treasurer
E. Report of the president
F. Report of committees
G. Election of officers and directors
H. Transaction of other business
I. Adjournment
Section Four - Special general membership meetings may be held at the call of the President or by written request of twenty percent (20%) of the members.
Section Five - Twelve (12) voting members present at any general membership meeting shall constitute a quorum for the transaction of business. If there are less than twelve voting members present at any duly noticed meeting, the President shall adjourn the meeting from time to time and place to place until there is a quorum.
ARTICLE VI. VOTING AND ELECTIONS
Section One - Each member being a family unit shall be entitled to one vote with the further provision that there shall be only one vote per household.
Section Two - The notice of the Annual Meeting shall contain the names of the candidates nominated by the Nominating Committee for all offices.
Section Three - At the Annual Meeting, nominations for all offices may be made from the floor, individually or as a slate.
Section Four - Whenever there are two or more candidates for any office, the voting shall be by secret ballot, upon which each member entitled to vote shall write the name of one of the candidates The candidate receiving the largest number of votes for each office shall be declared elected, including the two candidates receiving the highest number of votes for membership on the Board of Directors.
ARTICLE VII. BOARD OF DIRECTORS
Section One - The business, property, and affairs of this association shall be managed by a Board of Directors composed of: two elected directors plus the duly elected officers plus the immediate past president of the association, each of which person shall be entitled to one vote. Each officer and director must be a member of this association. Each director shall hold office for the term for which he is elected and until his successor is elected and qualified.
Section Two - The members of the Board of Directors shall be elected at the Annual Meeting. All elected directors shall hold office for a period of two years. One new director will be elected each year (staggered elections) to maintain continuity on the Board of Directors. Nothing herein shall be construed to prevent the election of a director to succeed himself/herself.
Section Three - No compensation shall be paid to directors for services performed by them for the association in any capacity unless a resolution authorizing such remuneration shall have been adopted by the Board of Directors before the service was rendered.
Section Four - The Board of Directors shall transact all business of the association and shall carry out the general policy of the association , which shall be determined by the general membership.
Section Five - The presence of a majority of all the directors and officers shall be necessary at any meeting to constitute a quorum to transact business. The act of a majority of directors present at a meeting when a quorum is present shall be the act of the Board of Directors.
Section Six - The first meeting of the Board of Directors shall be held the first month following the annual General Membership Meeting, and every alternate month thereafter at the time and place determined by the President, and other times upon the call of the President or by two Directors. Notice of each Special General Membership shall be given by the Secretary to each Director not less than five days before the meeting, unless each Director shall waive notice thereof before, at, or after the meeting.
Section Seven - Vacancies in the Board of Directors and/or officers shall be filled by appointment by the President with the consent and approval of the remaining Directors. Each person so appointed to fill a vacancy shall remain a Director until his successor had been elected by vote of the membership present, who may make such election at their next Annual Meeting, or at any special meeting duly called for that purpose and held prior thereto.
Section Eight - Any director or officer who moves away from the area shall have his seat immediately declared vacant. Failure to attend four consecutive Board of Directors meetings shall be cause for removal of a director.
Section Nine - For any reason deemed sufficient by the Board of Directors, the Board may delegate any power or duty to any officer of director to any other officer or director, but no officer or director shall execute, acknowledge, or verify any instrument in more that one capacity.
Section Ten - The president and treasurer shall present their respective reports of the operation of the association for the preceding year, at the Annual Meeting of the membership.
ARTICLE VIII. OFFICERS
Section One - Officers: The Officers of the Board of Directors shall be the officers of this association. They shall consist of the President, Vice President, Secretary, and Treasurer, all of whom shall be members of the Board of Directors. Each officer shall be elected to hold office for a period of one year.
Section Two - The President shall:
A. Preside at all meetings of the Board of Directors and at all meetings of the General Membership.
B. Make all committee appointments
C. Be a member, ex-officio, of all committees
D. Assure annual corporate charter is renewed annually on a timely basis
E. Perform all other duties usually pertaining to the office of the President
F. Be authorized to designate an attorney on a standby basis for the purposes of timely enforcement of the restrictive covenants and conducting association business.
Section Three - The Vice President shall:
In the absence of the President perform all such duties usually pertaining to the office of the President.
Section Four - The Treasurer shall:
A. Be custodian of all funds and securities of the Association
B. Keep a record of the accounts of the Association and report thereon at each regular meeting of the Board of Directors
C. Make a report at the Annual Meeting and special reports when requested
D. Deposit all monies received in the name of North Shore Homeowners Association, Inc., in a bank designated by the Board of Directors. Withdrawals exceeding $250.00 will be cosigned by the President having received prior approval from the Board of Directors
E. Give bond in such amount as the Board of Directors may require; the Association is to pay the premium for same
F. Prepare and file reports and returns required by all governmental agencies
G. Collect general membership dues, marina key deposits, and marina assessments.
Section Five - The Secretary shall:
A. Record the minutes of all meetings
B. Publish the minutes of the meeting as soon thereafter as practical
C. Confer with the President for possible omissions and additions
D. Have custody of the seal of the Association
E. Take attendance record at meetings
F. Maintain committee reports
G Give notices of all meetings required by statutes, by-laws, or resolutions
H. Carry on all necessary correspondence of the association
I. Perform such other duties as may be delegated by the Board of Directors
J. Procure all requested expendable supplies and coordinate with the treasurer to receive reimbursement.
ARTICLE IX. COMMITTEES
Section One - The President shall appoint a Nominating Committee consisting of three members, one of which he will designate as Chairperson. Such committee shall report a slate of officers and directors for the ensuing year at the Annual Meeting of the general membership, such slate shall not include a member of the Nominating Committee. Additional nominations for officers and directors may be made from the floor. No nominations by the Nominating Committee shall be made without obtaining approval of the nominee prior to submission of the slate.
Section Two - Within one month after the annual election, the President shall appoint a chairperson for the following standing committees with the proviso that the chairperson of each of the marina committees must be a slip owner of the marina they will represent.
A. WELCOMING - The chairperson will be responsible for organizing and directing a committee to:
1. Maintain and update a file of property owners eligible for membership and provide the Treasurer with a copy.
2. Publish the association directory upon instruction of the Board of Directors.
3. Appoint Block Captains who will be responsible for the updating the membership file and reporting the changes to the Welcoming Committee Chairperson.
4. Welcome new families to the neighborhood, distribute the homeowner's directory, restrictive covenant, and by-laws, and explain the purpose of the North Shore Homeowner's Association and the Lake Spivey Civic Association.
5. Maintain a telephone alert system.
6. Develop a Welcoming Committee budget for the next year.
B. PENINSULA MARINA AND SHORELINE MARINA - (Two separate committees) - The chairpersons will be responsible for appointing at least two other committee members of which at least one must be an existing slip owner and the other a ramp access member. Appointees will be subject to approval by the Board of Directors. These committees will be responsible for the administration, regulation, and control of the marina(s) and access to boat ramps and establish annual fees and assessments to members with the concurrence of the Board of Directors. The Marina committee is specifically charged with the following responsibilities:
1. To recommend expenditures to the Board of Directors for the maintenance and required improvements that are within the allocated annual budget
2. To recommend a budget for the following year
3. To recommend annual assessment for slip and ramp access membership
4. Receive, review, and approve/reject slip membership, priorities, and slip construction for the marina
5. To control ingress and egress to the marina, limiting its usage to PAID members
6. Establish, publish, and update rules for use of the marina
7. Coordinate contractors installation of slips
8. Establish a recommended long term project list for improving the marina for presentation to the Board of Directors
C. SOCIAL COMMITTEE - The chairperson will be responsible for organizing and directing the annual social calendar.
1. Activities are to be approved by the Board of Directors at the first meeting following the annual meeting.
2. Recommend a social budget for the following year
D. BEAUTIFICATION & GROUNDS - The chairperson will be responsible for organizing and directing a committee to:
1. Plan the required upkeep and maintenance of the entrance and other common grounds in the area to include roads and shoulders
2. Pursue a Yard of the Month Award
3. Maintain copies of the North Shore Covenants, identify any deviation from the rules, advise offenders and advise Board of Directors who will consider the severity of the deviation and will take appropriate action as deemed by the Board of Directors
4. Advise and police new home builders to keep their trash contained and non-offensive to the community
E. CIVIC ACTION - The chairperson is responsible to keep informed on local governmental activities as well as other subdivisions activities that may affect the functions of the North Shore Homeowners Association
F. SECURITY - The chairperson is responsible for continuous review of the North Shore subdivision security as it relates to police and fire protection, lighting, and maintenance of an active neighborhood watch program including liaison with local authorities and review of the program with new neighbors.
G. ARCHITECTURAL COMMITTEE - The Architectural Committee and Chairperson will be appointed by the President with the approval of the Board of Directors. The committee shall have no less than three (3) members. Their objective is to assist the developer in discharging the architectural regulations as outlined in the Deed Restrictive Covenants. Prior to building and/or altering existing buildings, the owner/contractor must submit proposed construction plans and specifications and a plat showing the location of all structures, quality of materials, harmony and external design with existing structures, and location with respect to topography and finish grade elevations. The committee with retain a set of plans forwarding a second set to the developer with recommendations within thirty (30) days.
ARTICLE X. FISCAL YEAR
The fiscal year of the Association shall be February 1/January 31st.
ARTICLE XI. RULES OF ORDER
Robert's Rules of Order shall be the parliamentary authority for all matters of procedure not specifically covered by these by-laws.
ARTICLE XIII. AMENDMENTS
Except as otherwise provided in the certificate of incorporation, these by-laws may be amended, repealed or adopted by a two-third vote of the members entitled to vote at any regular or special meeting. Changes in the by-laws may be presented to the membership either by a resolution of the Board of Directors, or upon an application for such change signed by no less than seven members in good standing.

In the absence of the President perform all such duties usually pertaining to the office of the President.
Section Four - The Treasurer shall:
A. Be custodian of all funds and securities of the Association
B. Keep a record of the accounts of the Association and report thereon at each regular meeting of the Board of Directors
C. Make a report at the Annual Meeting and special reports when requested
D. Deposit all monies received in the name of North Shore Homeowners Association, Inc., in a bank designated by the Board of Directors. Withdrawals exceeding $250.00 will be cosigned by the President having received prior approval from the Board of Directors
E. Give bond in such amount as the Board of Directors may require; the Association is to pay the premium for same
F. Prepare and file reports and returns required by all governmental agencies
G. Collect general membership dues, marina key deposits, and marina assessments.
Section Five - The Secretary shall:
A. Record the minutes of all meetings
B. Publish the minutes of the meeting as soon thereafter as practical
C. Confer with the President for possible omissions and additions
D. Have custody of the seal of the Association
E. Take attendance record at meetings
F. Maintain committee reports
G Give notices of all meetings required by statutes, by-laws, or resolutions
H. Carry on all necessary correspondence of the association
I. Perform such other duties as may be delegated by the Board of Directors
J. Procure all requested expendable supplies and coordinate with the treasurer to receive reimbursement.
ARTICLE IX. COMMITTEES
Section One - The President shall appoint a Nominating Committee consisting of three members, one of which he will designate as Chairperson. Such committee shall report a slate of officers and directors for the ensuing year at the Annual Meeting of the general membership, such slate shall not include a member of the Nominating Committee. Additional nominations for officers and directors may be made from the floor. No nominations by the Nominating Committee shall be made without obtaining approval of the nominee prior to submission of the slate.
Section Two - Within one month after the annual election, the President shall appoint a chairperson for the following standing committees with the proviso that the chairperson of each of the marina committees must be a slip owner of the marina they will represent.
A. WELCOMING - The chairperson will be responsible for organizing and directing a committee to:
1. Maintain and update a file of property owners eligible for membership and provide the Treasurer with a copy.
2. Publish the association directory upon instruction of the Board of Directors.
3. Appoint Block Captains who will be responsible for the updating the membership file and reporting the changes to the Welcoming Committee Chairperson.
4. Welcome new families to the neighborhood, distribute the homeowner's directory, restrictive covenant, and by-laws, and explain the purpose of the North Shore Homeowner's Association and the Lake Spivey Civic Association.
5. Maintain a telephone alert system.
6. Develop a Welcoming Committee budget for the next year.
B. PENINSULA MARINA AND SHORELINE MARINA - (Two separate committees) - The chairpersons will be responsible for appointing at least two other committee members of which at least one must be an existing slip owner and the other a ramp access member. Appointees will be subject to approval by the Board of Directors. These committees will be responsible for the administration, regulation, and control of the marina(s) and access to boat ramps and establish annual fees and assessments to members with the concurrence of the Board of Directors. The Marina committee is specifically charged with the following responsibilities:
1. To recommend expenditures to the Board of Directors for the maintenance and required improvements that are within the allocated annual budget
2. To recommend a budget for the following year
3. To recommend annual assessment for slip and ramp access membership
4. Receive, review, and approve/reject slip membership, priorities, and slip construction for the marina
5. To control ingress and egress to the marina, limiting its usage to PAID members
6. Establish, publish, and update rules for use of the marina
7. Coordinate contractors installation of slips
8. Establish a recommended long term project list for improving the marina for presentation to the Board of Directors
C. SOCIAL COMMITTEE - The chairperson will be responsible for organizing and directing the annual social calendar.
1. Activities are to be approved by the Board of Directors at the first meeting following the annual meeting.
2. Recommend a social budget for the following year
D. BEAUTIFICATION & GROUNDS - The chairperson will be responsible for organizing and directing a committee to:
1. Plan the required upkeep and maintenance of the entrance and other common grounds in the area to include roads and shoulders
2. Pursue a Yard of the Month Award
3. Maintain copies of the North Shore Covenants, identify any deviation from the rules, advise offenders and advise Board of Directors who will consider the severity of the deviation and will take appropriate action as deemed by the Board of Directors
4. Advise and police new home builders to keep their trash contained and non-offensive to the community
E. CIVIC ACTION - The chairperson is responsible to keep informed on local governmental activities as well as other subdivisions activities that may affect the functions of the North Shore Homeowners Association
F. SECURITY - The chairperson is responsible for continuous review of the North Shore subdivision security as it relates to police and fire protection, lighting, and maintenance of an active neighborhood watch program including liaison with local authorities and review of the program with new neighbors.
G. ARCHITECTURAL COMMITTEE - The Architectural Committee and Chairperson will be appointed by the President with the approval of the Board of Directors. The committee shall have no less than three (3) members. Their objective is to assist the developer in discharging the architectural regulations as outlined in the Deed Restrictive Covenants. Prior to building and/or altering existing buildings, the owner/contractor must submit proposed construction plans and specifications and a plat showing the location of all structures, quality of materials, harmony and external design with existing structures, and location with respect to topography and finish grade elevations. The committee with retain a set of plans forwarding a second set to the developer with recommendations within thirty (30) days.
ARTICLE X. FISCAL YEAR
The fiscal year of the Association shall be February 1/January 31st.
ARTICLE XI. RULES OF ORDER
Robert's Rules of Order shall be the parliamentary authority for all matters of procedure not specifically covered by these by-laws.
ARTICLE XIII. AMENDMENTS
Except as otherwise provided in the certificate of incorporation, these by-laws may be amended, repealed or adopted by a two-third vote of the members entitled to vote at any regular or special meeting. Changes in the by-laws may be presented to the membership either by a resolution of the Board of Directors, or upon an application for such change signed by no less than seven members in good standing.
